VALYR HEALTH LLC

TERMS OF USE

Effective Date: August 4, 2026

Welcome to Valyr Health LLC (“Valyr Health,” “we,” “our,” or “us”). These Terms of Use (“Terms”) govern your access to and use of the Valyr Health website, patient portal, mobile applications, online services, and any other digital platforms operated by Valyr Health (collectively, the “Services”).

Please read these Terms carefully before accessing or using the Services. By accessing, browsing, creating an account, scheduling an appointment, purchasing products or services, or otherwise using the Services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you may not access or use the Services.

These Terms constitute a legally binding agreement between you and Valyr Health LLC. Certain clinical services available through the Services are provided by independent licensed healthcare professionals and affiliated medical practices. Those providers may require additional informed consents or treatment agreements before medical services are rendered.

If you believe you are experiencing a medical emergency, do not use the Services. Immediately call 911 or proceed to the nearest emergency department.

At a Glance

This summary is provided solely for your convenience. It does not replace or modify these Terms of Use. In the event of any inconsistency between this summary and the Terms below, the Terms control.

Before using Valyr Health, here are a few important things to know:

Medical care is provided by independent licensed healthcare professionals, not by Valyr Health LLC itself.

Creating an account or completing a questionnaire does not guarantee that you will receive treatment, a prescription, or ongoing care.

Your healthcare provider independently determines whether treatment is appropriate based on your medical history, clinical judgment, and applicable law.

Some treatments require laboratory testing, periodic follow-up visits, or ongoing clinical monitoring.

If you enroll in a membership or subscription program, recurring charges may apply until you cancel in accordance with the applicable membership terms.

Prescription medications may not be available in every state and may be subject to additional legal or clinical requirements.

Your personal information is handled in accordance with our Privacy Policy and applicable healthcare privacy laws.

By using the Services, you agree to these Terms, including the agreement to resolve most disputes through binding arbitration unless you timely opt out where permitted.

If you believe you are experiencing a medical emergency, call 911 immediately or seek emergency medical care. The Services are not intended for emergency treatment.

1. About Valyr Health

Valyr Health LLC is a technology and administrative services company that operates an online platform designed to connect individuals with licensed healthcare professionals and affiliated medical practices where available. Through the Services, users may access educational resources, complete medical questionnaires, communicate with healthcare providers, schedule appointments, receive treatment recommendations, obtain prescriptions when medically appropriate, and coordinate pharmacy fulfillment.

Valyr Health itself does not practice medicine, diagnose medical conditions, prescribe medications, or direct the clinical judgment of any healthcare professional. All medical decisions—including diagnosis, treatment recommendations, prescriptions, laboratory testing, and follow-up care—are made solely by the treating healthcare provider exercising independent professional judgment.

Healthcare providers using the Services are independently licensed professionals or professional medical entities responsible for the medical care they provide.

2. Eligibility

You may use the Services only if you:

are at least 18 years of age (or the age of majority in your jurisdiction);

reside in a jurisdiction where the Services are offered;

provide complete and accurate registration information;

are legally capable of entering into binding contracts; and

comply with these Terms and all applicable laws.

You agree that all information submitted through the Services is truthful, complete, and current. You are responsible for promptly updating any information that becomes inaccurate, including your address, email, telephone number, payment information, medications, allergies, and medical history.

Valyr Health reserves the right to suspend or terminate access to the Services if inaccurate, fraudulent, misleading, or incomplete information is provided.

3. Medical Disclaimer

The information available through the Services is provided solely for educational and informational purposes. Nothing contained on the Services should be interpreted as medical advice or as a substitute for evaluation by a qualified healthcare professional.

No physician-patient relationship is established merely by visiting the website, reading educational materials, or creating an account. A provider-patient relationship exists only after a licensed healthcare professional has reviewed your medical information, determined that care can appropriately be provided, and affirmatively agrees to treat you in accordance with applicable law.

Healthcare decisions should never be based solely on information contained within the Services. You should always seek the advice of your treating healthcare provider regarding any questions about your health or medical condition.

The Services are not intended for emergency medical conditions. If you experience chest pain, difficulty breathing, symptoms of stroke, suicidal thoughts, severe allergic reactions, or any other medical emergency, immediately call 911 or seek emergency medical attention.

4. User Accounts

To access certain features of the Services, you may be required to establish a secure account.

You agree to maintain the confidentiality of your login credentials and are solely responsible for all activities occurring under your account. If you suspect unauthorized access or believe your account has been compromised, you must notify Valyr Health immediately.

You may not:

create an account using false information;

create accounts for another person without authorization;

share your account credentials;

permit another individual to access your account;

impersonate another individual or organization.

Valyr Health reserves the right to suspend, restrict, or terminate accounts that violate these Terms or applicable law.

5. Electronic Communications and Electronic Signatures

By creating an account or using the Services, you consent to receive communications electronically, including emails, secure portal messages, text messages, and other electronic notifications relating to your account, treatment, prescriptions, appointments, billing, and administrative matters.

These communications may include legally required disclosures, notices regarding changes to these Terms, appointment reminders, prescription notifications, payment confirmations, and other information necessary to provide the Services.

You agree that electronic communications satisfy any legal requirement that such communications be in writing.

By clicking buttons labeled “Submit,” “Continue,” “Accept,” “I Agree,” “Authorize,” or similar acknowledgments, or by electronically signing documents using the Services, you consent to the use of electronic signatures. Such electronic signatures carry the same legal force and effect as handwritten signatures to the fullest extent permitted by applicable law.

6. Permitted Use of the Services

Valyr Health grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Services solely for your personal, lawful, and non-commercial healthcare purposes.

You agree to use the Services only in accordance with these Terms and all applicable federal, state, and local laws and regulations.

You may not:

use the Services for any unlawful, fraudulent, abusive, or deceptive purpose;

misrepresent your identity or another person’s identity;

submit false, misleading, or incomplete medical information;

attempt to gain unauthorized access to any portion of the Services, user accounts, networks, or systems;

interfere with the operation, security, or availability of the Services;

upload malicious software, viruses, ransomware, spyware, or other harmful code;

use automated software, bots, crawlers, scrapers, or similar technologies to access or collect information from the Services;

reverse engineer, decompile, copy, modify, or create derivative works based upon the Services except as expressly permitted by law;

use the Services in any manner that infringes upon the intellectual property or privacy rights of others.

Valyr Health reserves the right to investigate suspected violations of these Terms and may suspend or terminate access to the Services without prior notice if misuse is reasonably suspected.

7. Clinical Services and Independent Healthcare Providers

Medical care made available through the Services is provided exclusively by independent licensed healthcare professionals or affiliated professional medical practices (“Providers”).

Valyr Health LLC is not a medical practice and does not practice medicine. Valyr Health does not employ clinical judgment, determine appropriate treatment, prescribe medications, or interfere with the independent medical decision-making of Providers.

Each Provider independently determines whether telehealth services are appropriate, whether treatment should be recommended, whether laboratory testing is necessary, and whether any prescription medication is medically indicated.

No guarantee is made that you will receive treatment, a diagnosis, a prescription, laboratory testing, or any specific clinical recommendation. Eligibility for treatment is determined solely by your treating Provider based upon your medical history, current health status, applicable clinical guidelines, and state and federal law.

Providers may decline to establish or continue a provider-patient relationship for any lawful reason, including when telemedicine is not clinically appropriate, additional evaluation is required, or treatment cannot safely be provided through the Services.

If laboratory testing is required, you agree to complete testing within the timeframe requested by your Provider. Failure to obtain recommended laboratory testing may result in delays, modification, suspension, or discontinuation of treatment.

Medical care is subject to the professional judgment of the treating Provider and should not be interpreted as a guarantee of any particular outcome.

8. Telehealth Services

Certain healthcare services offered through Valyr Health may be delivered using telemedicine technologies, including secure video conferencing, telephone consultations, asynchronous electronic communications, secure messaging, and other remote communication methods permitted by applicable law.

Telehealth offers increased convenience and access to medical care; however, it also has inherent limitations. These limitations may include the inability to perform a comprehensive physical examination, technological interruptions, incomplete transmission of information, reduced access to emergency intervention, or delays caused by internet connectivity or equipment failures.

You acknowledge and understand that:

telehealth may not be appropriate for every medical condition;

your Provider may determine that an in-person examination is necessary before treatment can safely continue;

treatment recommendations may change if additional information becomes available;

emergency medical conditions require immediate in-person evaluation and should never be managed through the Services.

By using telehealth services, you voluntarily consent to receiving medical care through remote communication technologies to the extent permitted under applicable law.

9. Prescriptions and Pharmacy Fulfillment

If your Provider determines that prescription medication is medically appropriate, the prescription may be transmitted electronically to a licensed pharmacy selected by you or otherwise authorized under applicable law.

Prescription decisions are made solely by your treating Provider. Valyr Health does not guarantee that any medication will be prescribed, refilled, or continued.

Medication availability may vary based upon pharmacy inventory, state law, manufacturer supply, insurance requirements, regulatory restrictions, or other circumstances outside the control of Valyr Health.

You understand and agree that:

prescription medications may not be appropriate for every patient;

some medications require laboratory monitoring or periodic follow-up evaluations;

controlled substances are prescribed only when permitted by applicable law and when medically appropriate;

certain medications cannot legally be prescribed through telehealth in every jurisdiction;

Providers may discontinue treatment if continued prescribing is no longer medically appropriate or legally permissible.

Where permitted, prescriptions may be transferred between participating pharmacies to facilitate dispensing, inventory management, pricing, or operational efficiency.

Valyr Health is not responsible for delays caused by pharmacies, wholesalers, shipping carriers, weather events, supply shortages, regulatory actions, or other events beyond its reasonable control.

You are responsible for reviewing all medication instructions, storage requirements, expiration dates, and pharmacy-provided counseling materials before beginning treatment.

10. Memberships, Fees, and Payment

Certain Services may be offered through one-time consultations, recurring memberships, subscription programs, or other fee-based arrangements.

By purchasing any Service, you authorize Valyr Health, or its authorized payment processor, to charge the payment method you designate for all applicable fees, taxes, shipping charges, membership dues, subscription renewals, and other authorized charges.

Unless otherwise expressly stated, all Services are provided on a cash-pay basis and are not submitted to insurance. Valyr Health does not guarantee reimbursement from any health insurance carrier, health savings account (HSA), flexible spending account (FSA), or other third-party payer.

If you enroll in a recurring membership or subscription, you authorize recurring charges until the membership is canceled in accordance with the applicable cancellation policy disclosed during enrollment.

You are responsible for maintaining current payment information. If a payment cannot be processed, Valyr Health may suspend Services, delay prescription fulfillment, or terminate your membership until the outstanding balance has been resolved.

Valyr Health may utilize independent payment processors to securely process financial transactions. Your use of those services may also be governed by the terms and privacy policies of the applicable payment processor.

Late payments, chargebacks, or fraudulent payment activity may result in suspension of Services, referral for collection, recovery of reasonable costs incurred, and permanent termination of your account.

11. Refunds, Cancellations, and Membership Termination

Valyr Health strives to provide transparent pricing and fair billing practices. Because many of our Services involve professional medical review, prescription processing, pharmacy coordination, and individualized treatment planning, refund eligibility varies depending on the type of service purchased.

Clinical consultation fees are generally non-refundable once a Provider has reviewed your medical information, conducted a consultation, or otherwise devoted professional time to evaluating your eligibility for treatment.

Prescription medications are generally not eligible for return or refund due to federal and state pharmacy regulations. Exceptions may be considered when required by law or in situations involving shipment errors, damaged products, incorrect medications, or verified delivery failures. Any replacement or refund remains subject to review by Valyr Health and the dispensing pharmacy.

If a Provider determines that treatment is not medically appropriate after reviewing your medical information, any refund will be governed by the pricing and refund policy applicable to the specific program you purchased at the time of enrollment.

If you enroll in a recurring membership, you may cancel future renewals at any time through your account or by contacting Valyr Health before your next scheduled billing date. Cancellation prevents future charges but does not automatically entitle you to a refund for Services already rendered or membership periods that have already begun.

Valyr Health reserves the right to deny refund requests involving fraud, abuse, misuse of the Services, repeated chargebacks, or violations of these Terms.

12. Intellectual Property

All content made available through the Services—including text, graphics, photographs, videos, illustrations, software, code, interfaces, logos, trademarks, service marks, educational materials, downloadable resources, and other content—is owned by Valyr Health LLC or its licensors and is protected by United States and international intellectual property laws.

Your use of the Services does not grant you ownership of any intellectual property rights.

Except as expressly permitted by these Terms, you may not reproduce, distribute, modify, publicly display, republish, transmit, reverse engineer, scrape, commercially exploit, or otherwise use any portion of the Services without prior written authorization from Valyr Health.

“Valyr Health,” our logos, branding, slogans, trade dress, and related marks are the exclusive property of Valyr Health LLC. Unauthorized use of these marks is strictly prohibited.

Nothing contained within the Services shall be interpreted as granting any license or right to use Valyr Health intellectual property without prior written permission.

13. User Content

Certain portions of the Services may permit you to upload information, submit forms, send secure messages, complete questionnaires, provide reviews, or otherwise communicate with Valyr Health or your Provider.

You retain ownership of any information you submit; however, by submitting content through the Services, you grant Valyr Health a limited license to use, store, transmit, reproduce, and process such information as necessary to provide the Services, comply with applicable law, maintain medical records, improve system functionality, prevent fraud, and fulfill our contractual obligations.

You represent and warrant that any information you submit:

is accurate and truthful;

does not violate the rights of another person;

does not contain malicious software;

does not violate applicable law.

Valyr Health reserves the right to remove any content that violates these Terms or applicable law.

14. Third-Party Services

The Services may integrate with or provide access to third-party websites, pharmacies, laboratories, payment processors, shipping carriers, electronic health record vendors, communication providers, and other independent organizations.

These third parties operate independently of Valyr Health and maintain their own terms, privacy policies, business practices, and security procedures.

Valyr Health does not control or guarantee the availability, performance, pricing, quality, or accuracy of services provided by third parties.

Your interactions with third-party providers are governed by their respective agreements, and Valyr Health is not responsible for acts, omissions, interruptions, delays, or damages arising from services provided by independent third parties.

15. Privacy

Your privacy is important to us.

The collection, storage, use, and disclosure of personal information through the Services are governed by the Valyr Health Privacy Policy, which is incorporated into these Terms by reference.

By using the Services, you acknowledge that you have reviewed the Privacy Policy and understand how your information may be collected, used, disclosed, and protected.

Protected Health Information (PHI) is handled in accordance with applicable federal and state privacy laws, including the Health Insurance Portability and Accountability Act (“HIPAA”), where applicable.

Although Valyr Health implements commercially reasonable administrative, technical, and physical safeguards to protect your information, no electronic transmission or storage system can be guaranteed to be completely secure.

16. Availability of Services

Valyr Health continually works to maintain reliable access to the Services but does not guarantee uninterrupted availability.

The Services may occasionally become unavailable because of scheduled maintenance, software updates, equipment failures, cybersecurity events, internet outages, acts of third-party vendors, governmental actions, natural disasters, or other events beyond our reasonable control.

We reserve the right to modify, suspend, discontinue, or replace any portion of the Services at any time without liability.

From time to time we may introduce new features, discontinue existing programs, modify pricing, expand available services, or limit availability based upon regulatory changes or operational needs.

17. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VALYR HEALTH DISCLAIMS ALL EXPRESS, IMPLIED, STATUTORY, OR OTHER WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, OR UNINTERRUPTED OPERATION.

VALYR HEALTH DOES NOT WARRANT THAT:

THE SERVICES WILL ALWAYS BE AVAILABLE;

THE SERVICES WILL OPERATE WITHOUT INTERRUPTION;

ANY DEFECTS WILL BE CORRECTED IMMEDIATELY;

THE SERVICES WILL BE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS;

MEDICAL TREATMENT WILL ACHIEVE ANY PARTICULAR RESULT.

MEDICAL OUTCOMES VARY BETWEEN INDIVIDUALS. NO GUARANTEE IS MADE REGARDING THE EFFECTIVENESS OF ANY TREATMENT, MEDICATION, OR CLINICAL RECOMMENDATION.

NOTHING IN THESE TERMS LIMITS ANY RIGHTS THAT CANNOT BE DISCLAIMED UNDER APPLICABLE LAW.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VALYR HEALTH LLC, ITS AFFILIATES, OWNERS, MEMBERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES.

THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY ASSERTED, INCLUDING CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF VALYR HEALTH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, VALYR HEALTH’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE GREATER OF:

ONE HUNDRED U.S. DOLLARS (US $100); OR

THE TOTAL AMOUNT PAID BY YOU TO VALYR HEALTH DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY. IN THOSE JURISDICTIONS, THE ABOVE LIMITATIONS SHALL APPLY ONLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.

19. Indemnification

You agree to defend, indemnify, and hold harmless Valyr Health LLC, its affiliates, members, managers, officers, directors, employees, contractors, licensors, service providers, and agents from and against any claims, demands, actions, liabilities, damages, judgments, settlements, penalties, fines, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

your use or misuse of the Services;

your violation of these Terms;

your violation of any applicable law or regulation;

information you submit that is false, inaccurate, misleading, or incomplete;

your infringement of the rights of another person or entity;

your negligent or intentional misconduct; or

your breach of any representation or warranty contained in these Terms.

Valyr Health reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. You agree to cooperate fully in the defense of any such matter.

20. Arbitration Agreement and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Agreement to Arbitrate

Except where prohibited by applicable law, you and Valyr Health agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Services, your use of the Platform, or any products or services offered through the Platform shall be resolved exclusively through final and binding arbitration rather than in court.

This agreement applies to claims based upon contract, tort, negligence, fraud, statutory rights, consumer protection laws, equitable claims, or any other legal theory.

Informal Resolution

Before initiating arbitration, either party agrees to provide written notice describing the dispute in reasonable detail.

The parties agree to make a good-faith effort to resolve the dispute informally for at least thirty (30) days before commencing arbitration.

Arbitration Rules

Unless otherwise required by law, arbitration shall be administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules then in effect.

Unless prohibited by applicable law, arbitration may occur remotely by video conference, telephone, written submissions, or another mutually agreeable method.

The arbitrator shall have exclusive authority to resolve all issues relating to the interpretation, enforceability, and applicability of this arbitration provision.

Individual Claims Only

You and Valyr Health agree that all claims shall be brought solely in an individual capacity.

Neither party shall participate as a plaintiff, claimant, class representative, or class member in any class action, collective action, representative action, or consolidated proceeding.

The arbitrator shall have no authority to consolidate claims involving multiple individuals unless all parties expressly consent in writing.

Exceptions

Nothing in this section prevents either party from:

filing an individual claim in small claims court if jurisdictional requirements are satisfied;

seeking temporary injunctive relief to protect confidential information or intellectual property;

reporting concerns to governmental or regulatory agencies where permitted by law.

If any portion of this arbitration agreement is determined to be unenforceable, the remaining provisions shall remain in full force and effect to the maximum extent permitted by law.

21. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law principles.

If a dispute is determined not to be subject to arbitration, exclusive jurisdiction and venue shall lie in the state or federal courts located in Washington, unless applicable law requires otherwise.

You consent to the personal jurisdiction of those courts for purposes of resolving any dispute not subject to mandatory arbitration.

22. Suspension and Termination

Valyr Health may suspend, restrict, or terminate your access to the Services at any time, with or without prior notice, if we reasonably believe that:

you have violated these Terms;

you have provided false or misleading information;

continued access presents a safety, legal, regulatory, or security concern;

your conduct may interfere with the operation of the Services or the care of other patients;

termination is required by applicable law or by an affiliated healthcare provider.

Termination of your account does not relieve you of any payment obligations incurred before termination.

Any provisions that by their nature should survive termination—including limitations of liability, arbitration, indemnification, intellectual property rights, payment obligations, and dispute resolution provisions—shall survive termination of these Terms.

23. Changes to These Terms

Valyr Health may revise these Terms from time to time to reflect changes in our Services, legal requirements, regulatory obligations, technology, or business operations.

When material changes are made, we will post an updated version on our website and update the Effective Date at the beginning of these Terms.

Where required by law, we may also provide notice through email, your patient portal, or other electronic communications.

Your continued use of the Services after revised Terms become effective constitutes acceptance of the updated Terms.

If you do not agree with any revised Terms, you must discontinue use of the Services.

24. Force Majeure

Valyr Health shall not be liable for any delay, interruption, or failure to perform resulting from causes beyond its reasonable control, including but not limited to:

natural disasters;

severe weather events;

pandemics or public health emergencies;

acts of government;

war or terrorism;

labor disputes;

internet or telecommunications failures;

cybersecurity incidents;

utility outages;

supply chain disruptions;

pharmacy shortages;

transportation interruptions; or

failures of third-party vendors or service providers.

Performance shall be excused for the duration of the event and any reasonable recovery period.

25. Miscellaneous

Entire Agreement

These Terms, together with our Privacy Policy and any additional agreements or consents executed in connection with your use of the Services, constitute the complete agreement between you and Valyr Health regarding the Services and supersede all prior discussions, understandings, and agreements relating to the subject matter herein.

Severability

If any provision of these Terms is determined by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

Waiver

No waiver by Valyr Health of any provision or breach of these Terms shall constitute a continuing waiver or a waiver of any subsequent breach.

Assignment

You may not assign or transfer your rights or obligations under these Terms without the prior written consent of Valyr Health.

Valyr Health may assign these Terms, in whole or in part, without restriction in connection with a merger, acquisition, corporate restructuring, financing transaction, or sale of assets.

Relationship of the Parties

Nothing contained in these Terms creates any partnership, joint venture, agency relationship, employment relationship, or fiduciary relationship between you and Valyr Health.

Headings

Section headings are included solely for convenience and shall not affect the interpretation of these Terms.

Electronic Records

Electronic versions of these Terms shall be considered originals and shall be admissible to the same extent as paper records.

HIPAA and Medical Privacy

Protected Health Information

Valyr Health recognizes the importance of protecting your medical information.

Medical information collected through the Services may constitute Protected Health Information (“PHI”) under the Health Insurance Portability and Accountability Act of 1996 (“HIPAA”), as amended, and other applicable federal or state privacy laws.

Clinical records created by your treating Provider are maintained by or on behalf of the Provider in accordance with applicable law. Valyr Health may receive, store, transmit, or process certain medical information as a business associate or service provider for affiliated medical practices for purposes including scheduling, care coordination, payment processing, technology support, quality improvement, customer support, prescription coordination, and other healthcare operations authorized by law.

Your medical information will be used and disclosed only as permitted by applicable law, our Privacy Policy, applicable Notices of Privacy Practices, and any additional authorizations that you provide.

Additional information regarding how your information is collected, used, disclosed, and protected is available in the Valyr Health Privacy Policy.

HIPAA Authorization for Care Coordination

By using the Services, you authorize Valyr Health and your treating healthcare providers, to the extent permitted by applicable law, to exchange medical information necessary to:

coordinate your care;

evaluate treatment eligibility;

facilitate laboratory testing;

coordinate prescription fulfillment;

process payments;

communicate regarding your treatment;

provide customer support;

comply with legal and regulatory obligations.

This authorization does not permit the disclosure of your Protected Health Information for marketing purposes without any authorization required by applicable law.

You understand that you may revoke any authorization that is legally revocable by submitting a written request, except to the extent that action has already been taken in reliance upon that authorization.

State Telehealth Disclosures

State Law Disclosures

Valyr Health provides telehealth technology services to affiliated licensed healthcare professionals practicing in multiple jurisdictions throughout the United States.

Healthcare services are provided only where authorized by applicable law and only by Providers appropriately licensed or otherwise legally authorized to provide care in the jurisdiction where the patient is located at the time services are rendered.

Because telehealth laws differ among states and continue to evolve, certain Services, medications, laboratory requirements, prescribing practices, follow-up requirements, and informed consent obligations may vary depending upon your location.

Some states require additional disclosures or informed consent before telehealth services may be provided. Where required, you agree to review and electronically acknowledge any state-specific telehealth disclosures presented before receiving care.

Certain states may require one or more of the following:

identity verification;

disclosure of Provider credentials;

discussion of telehealth limitations;

emergency contact information;

consent to telehealth treatment;

acknowledgment of privacy practices;

referral for in-person evaluation when clinically appropriate;

additional prescribing restrictions.

Valyr Health reserves the right to modify its Services, treatment protocols, prescribing practices, or availability within any jurisdiction to comply with applicable federal, state, or local laws and regulations.

Nothing in these Terms shall be interpreted as expanding the scope of practice of any healthcare professional beyond that permitted by applicable law.

Availability by State

Not all services, medications, treatment programs, laboratory services, pharmacies, or subscription offerings are available in every state.

Certain treatments may be unavailable due to:

state licensing requirements;

pharmacy regulations;

controlled substance laws;

corporate practice of medicine restrictions;

insurance or reimbursement requirements;

evolving telehealth regulations;

Provider availability.

Valyr Health makes no representation that every Service offered through the Platform will be available in every jurisdiction.

Cross-State Care

You represent that you are physically located in the state identified during your consultation at the time telehealth services are provided.

You agree to notify your Provider immediately if your location changes before or during a telehealth encounter.

Because medical licensure is generally state-specific, Providers may be unable to continue treatment if you relocate or travel to a jurisdiction where they are not authorized to practice.
